DGH product terms

Document Governance Hub Product Terms

Effective date: October 20, 2026

These terms govern business use of Document Governance Hub (DGH), supplied by AppParallax LLC. They form part of the terms expressly accepted in an applicable offer, order, or evaluation agreement; visiting this website alone does not purchase a license or create an entitlement. The individual accepting an order for an organization must have authority to bind it.

1. Contract documents and priority

Mandatory law and applicable Microsoft Marketplace transaction terms remain effective. A signed agreement or expressly accepted order controls over these terms where it expressly varies them. If an offer adopts Microsoft’s Standard Contract, that contract and any validly accepted amendments govern that transaction; this webpage does not silently amend or replace it. Microsoft is not the supplier of DGH, and these terms do not alter your Microsoft service agreements.

2. License and evaluation

Subject to the accepted offer, entitlement, and these terms, AppParallax grants the customer a non-exclusive, non-transferable license to install and use DGH for its internal business purposes in the Microsoft environment or environments authorized by the order. Employees and authorized contractors may use it for that purpose under the customer’s control. The order determines the license duration, environment allowance, and any applicable usage limits; no unlimited or perpetual right is implied.

Release-candidate and evaluation packages are for agreed evaluation use in an appropriate test environment, not production reliance unless expressly authorized in writing. Evaluation availability, duration, support, and any fees must be agreed before access; an inquiry alone does not begin a trial or incur a charge. Microsoft Marketplace certification and general availability remain pending until expressly announced.

3. Pricing, payment, renewal, and refunds

Fees, currency, taxes, billing frequency, license term, renewal/cancellation conditions, and included services are those disclosed and accepted in the applicable Marketplace offer or written order. There is no automatic paid renewal based solely on these website terms. Microsoft licenses, implementation, migration, training, customizations, and enhanced support are separate unless expressly included. Marketplace billing, cancellation, and refund rules apply to Marketplace transactions; other transactions follow the accepted order and applicable law. Nothing here removes a mandatory refund, cancellation, or consumer right.

4. Microsoft services and deployment

DGH depends on separately licensed Microsoft services, including SharePoint Online, Power Automate, Teams, Standard Approvals, Office 365 Users, and optional Forms. Customers are responsible for licenses, capacity, tenant policies, service-account continuity, connection references, configuration, and backups. Before production use, validate installation, audience permissions, approval routes, source URLs, publication, lifecycle behavior, and recovery. Microsoft service outages, connector changes, and customer configurations may affect operation.

5. Permitted use and ownership

The customer may configure DGH for its authorized internal processes. It may not resell, sublicense, publicly distribute, or provide the package as a third-party service without written permission; remove proprietary notices; bypass license restrictions; or use DGH unlawfully. Restrictions apply only to the extent permitted by law and do not override rights expressly granted under an applicable third-party or open-source license. AppParallax and its licensors retain DGH intellectual property; the customer retains its documents, configuration data, and business content.

6. Data and confidentiality

The customer controls its tenant, content, authorized users, lawful processing, notices, retention, and export. The DGH Privacy & Data Handling Notice describes the current product boundary. Routine operation does not give AppParallax access to customer documents. Where support or implementation requires processing personal information on the customer’s behalf, required data-processing and transfer terms must be agreed before access.

Each party must use reasonable care to protect nonpublic information disclosed by the other that is marked confidential or reasonably understood to be confidential, use it only to perform or exercise rights under the agreement, and disclose it only to people or providers with a need to know and suitable duties. This does not cover information independently developed, lawfully received without restriction, already lawfully known, or public without breach. Legally required disclosure is permitted, with prior notice where lawful and practicable. Confidentiality continues while the information remains confidential, subject to any controlling agreement. Do not send secrets or unnecessary regulated content through public support channels.

7. Support, updates, and changes

Support follows the accepted offer/order and the DGH Support policy. The published two-U.S.-business-day initial-response target is not a resolution guarantee or emergency service. Rights to updates, new versions, and implementation assistance depend on the purchased entitlement. Review release and upgrade instructions and retain backups before changes. Website revisions do not retroactively change an accepted paid order; material contractual changes require notice and acceptance as required by the controlling agreement and law.

8. Product boundaries and warranties

DGH uses group-scoped access, not per-document information barriers. Its operational history is not an immutable regulatory ledger. Training acknowledgments and automatic cross-document supersession are outside the current release. DGH does not independently establish regulatory compliance or replace qualified legal, clinical, security, or governance judgment.

Express warranties and remedies in an accepted order or controlling Marketplace contract remain effective. To the extent permitted by law and except for those express commitments, DGH and evaluation materials are provided as available, without additional implied warranties of merchantability, fitness for a particular purpose, or noninfringement. No uninterrupted or error-free operation is promised. Mandatory statutory warranties and remedies are preserved.

9. Responsibility and liability

Each party remains responsible for its own breach and applicable legal duties. To the extent permitted by law and unless a controlling agreement provides otherwise, neither party is liable to the other for indirect or consequential loss arising under these terms, including lost profits or business interruption. This exclusion does not limit liability for fraud, intentional misconduct, gross negligence, or liability that applicable law does not allow to be limited. Any monetary cap or additional liability allocation must be stated in the accepted order or controlling contract; this webpage does not impose an undisclosed monetary cap or an indemnity.

10. Termination and customer records

The license ends at the end of its agreed term unless renewed or a controlling agreement grants continuing rights. Unless that agreement says otherwise, either party may terminate for a material breach that remains uncured 30 days after written notice identifying it. A lawful urgent suspension may be used only to the extent reasonably necessary to address a material security threat or unlawful use, with notice where practicable. These terms do not authorize AppParallax to access the customer’s tenant or delete customer records.

When a license ends, stop using and distributing the package except as expressly permitted for transition or continuing use. The customer retains ownership of its records and must arrange lawful export, retention, and removal within Microsoft services. Uninstalling DGH does not by itself erase all records. Accrued payment obligations, ownership, confidentiality, applicable liability provisions, and other provisions intended to survive remain effective.

11. General and notices

Unless a controlling agreement provides otherwise, Wyoming law governs these business terms, excluding conflict-of-law rules, and disputes may be brought in courts with jurisdiction in Wyoming. Mandatory local protections and legally required forums are not excluded. Neither party loses a right by delaying its exercise; an unenforceable provision is limited only as necessary while the remainder continues. Neither party may transfer this agreement without the other’s consent except with a lawful merger or business transfer that preserves the other party’s rights. Notices to AppParallax may be sent to the email or mailing address below; customer notices use the business contact in the accepted order. No arbitration or class-action waiver is created by this page.
